Contractor Code of Conduct

Ref. VYS-LGL-008 — Annex C to the Contractor / Partner Agreement

This Code of Conduct sets the professional, safety, and compliance standards expected of every Contractor performing Jobs through the Platform. It is incorporated by reference into, and enforceable under, the Contractor / Partner Agreement.

2. Professional Standards

  • Arrive within the agreed pickup window; notify the Customer through the Platform promptly if delayed.
  • Communicate with Customers and Vyspiral staff respectfully and professionally at all times.
  • Wear appropriate identification/uniform where provided, and appropriate personal protective equipment for the task.
  • Only personnel vetted and authorized by the Contractor may perform Jobs on its behalf; the Contractor remains responsible for their conduct.

3. Waste Handling Standards

  • Classify waste accurately using the categories and codes provided on the Platform; do not accept a Job involving a waste type you are not authorized to handle.
  • Segregate hazardous and non-hazardous waste; never mix categories that must be kept separate under applicable law.
  • Transport and deliver waste only to authorized, properly licensed treatment or disposal facilities; never use unlicensed dumping sites.
  • Where the Platform records a partnership with a specific treatment facility, use that facility unless a documented, authorized exception applies.
  • Record actual quantities, treatment method, and destination facility accurately and promptly through the Platform’s evidence-submission flow.

4. Site Conduct

  • Respect the Customer’s property; leave the pickup site clean and free of debris after collection.
  • Take before/after photographs that honestly reflect the site condition and the waste actually collected.
  • Report any site hazard, access issue, or discrepancy between the Job description and actual conditions through the Platform before proceeding, where safe to do so.

5. Compliance and Documentation

  • Keep RCS registration, business authorization, waste-handling permits, and insurance current, and notify Vyspiral promptly of any change, lapse, or renewal.
  • Retain your own copies of facility tickets, weighbridge receipts, and disposal documentation as required by applicable waste-tracking law, independent of what is uploaded to the Platform.
  • Cooperate with reasonable requests from Vyspiral to verify compliance, including document checks and periodic re-verification.

6. Fair Dealing

  • Do not solicit a Customer met through the Platform to pay outside the Platform for the same or a substantially similar service, except as permitted under the Contractor Agreement.
  • Do not offer or accept bribes, kickbacks, or other improper inducements in connection with Platform Jobs.
  • Do not misrepresent your qualifications, authorizations, or the nature of Vyspiral’s role to any Customer or third party.

7. Health and Safety

  • Follow all applicable occupational health and safety requirements for waste handling and transport.
  • Do not attempt to collect waste that appears to present an immediate danger (e.g., unlabeled chemicals, suspected asbestos) without appropriate certification; report such Jobs to Vyspiral instead.

8. Prohibited Conduct

  • Illegal dumping or disposal of waste at any unauthorized location.
  • Falsifying quantities, photographs, classifications, or destination-facility information.
  • Harassment, discrimination, or abusive behavior toward Customers, other Contractors, or Vyspiral staff.
  • Operating without required insurance, permits, or authorizations.
  • Circumventing the Platform’s payment system for a Job originated through the Platform.

9. Enforcement

Violations are addressed under the penalty and strike system in the Contractor Agreement, and may result in a warning, temporary suspension, mandatory re-verification, or termination for cause, depending on severity. Conduct that may constitute a criminal offense or serious environmental violation will be reported to the competent authorities.

10. Reporting Concerns

Contractors, Customers, or third parties may report a suspected violation of this Code of Conduct to compliance@vyspiral.com. Reports are treated confidentially to the extent possible and investigated in good faith.
